Key challenges facing SA’s mining sector

<p>The Chamber of Mines advises that, following an approach by legal counsel representing Mineral Resources Minister Mosebenzi Zwane, the Chamber has reached an agreement with him through his legal counsel in respect of the Chamber’s urgent interdict to prevent the implementation of the Reviewed Mining Charter, as published by the DMR on 15 June 2017. In terms of the agreement, the Minister of Mineral Resources has given a written undertaking that the Reviewed Mining Charter will not be implemented until judgment has been handed down in respect of the Chamber’s review application, which has rendered the granting of an interdict by the court not necessary at this stage. The Minister has also undertaken that if he makes any reference in public to the Reviewed Mining Charter, he will simultaneously make reference to his written undertaking and that the Chamber has brought review proceedings to set aside the Charter.</p>
<p>In the interests of expediting the review process, which is the industry’s primary focus, the Chamber has agreed that the matter be heard on 13 and 14 December 2017 by a full bench of judges. The Minister’s written undertaking will be presented to the High Court of Gauteng (Pretoria) on 14 September 2017 for noting.</p>


Chamber of Mines agrees to minister’s written undertaking

<p data-reactid="39">Amendments to South Africa’s mineral resources law are expected to be passed by December and provide greater investor certainty, Mines Minister Mosebenzi Zwane said on Thursday.</p>
<p data-reactid="40">Changes to the Mineral and Petroleum Resources Development Act were initially passed by parliament three years ago but were then sent back to lawmakers by President Jacob Zuma in 2015 due to concerns over its constitutionality.</p>
<p data-reactid="41">“We are continuing to support the parliamentary processes towards our new target date of December 2017 for promulgation. This is not a Department of Mineral Resources goal, but a national one,” Zwane said in a speech to a conference in Australia.</p>
<p data-reactid="42">South Africa’s mining sector is slowly showing signs of recovery after being battered by a global commodities downturn that hit platinum, iron ore and coal exports, although regulatory uncertainty remains a concern, analysts said.</p>
<p data-reactid="43">Amendments to the MPRDA bill were first passed in 2014, but Zuma referred the bill back to parliament over concerns that it might infringe global trade obligations and was unconstitutional, partly because it elevated the country’s Mining Charter to the status of legislation.</p>
<p data-reactid="44">South Africa’s Chamber of Mines, which represents the industry, has taken the government to court to block the implementation of the new Mining Charter, which gives resource firms 12 months to meet a new 30 percent minimum for black ownership, up from 26 percent.</p>
<p data-reactid="45">“The 2017 Mining Charter is law, and all right-holders in South Africa are expected to implement it,” Zwane said.</p>

<p data-reactid="40"> South Africa&#8217;s mineral resources department has withdrawn its plan to impose a moratorium suspending the issuance of new mining and prospecting rights, which had drawn a court challenge by an industry group.</p>
<p data-reactid="41">The department said in a statement that based on various submissions from industry players on its proposed move it would not go ahead with the moratorium.</p>
<p data-reactid="42">Mineral Resources Minister Mosebenzi Zwane said in July he intended to suspend the granting of applications for prospecting and mining rights. South Africa&#8217;s Chamber of Mines lodged a court application to prevent the moratorium.</p>

<p data-reactid="40">South Africa&#8217;s Mineral Resources Minister Mosebenzi Zwane said on Thursday that no decision had been taken to implement a moratorium suspending the issuance of new mining and prospecting rights that was announced last month.</p>
<p data-reactid="41">&#8220;No decision has been taken by the Minister of Mineral Resources to implement the moratorium,&#8221; he said in a statement.</p>
<p data-reactid="42">On July 20, Zwane said he intended to suspend the granting of applications for prospecting and mining rights pending a court case to review a new charter that increased the required level of ownership of mining firms by black people.</p>
<p data-reactid="43">South Africa&#8217;s Chamber of Mines has lodged separate court applications to prevent the new charter and the moratorium.</p>

SA Chamber of Mines to challenge mining rights freeze

<p data-reactid="38">South Africa intends to suspend the granting of applications for prospecting and mining rights as well as any renewals pending a court case to review new mining laws, the Mineral Resources Minister Mosebenzi Zwane said on Thursday.</p>
<p data-reactid="39">Such a move could seriously hamper growth and investment in South Africa&#8217;s mining sector, already beset by policy uncertainty, depressed prices, soaring costs and often violent social and labour strife.</p>
<p data-reactid="40">&#8220;The moratorium would ensure that any applications &#8230; are concluded in terms of the 2017 Mining Charter,&#8221; Zwane said in a statement.</p>
<p data-reactid="41">The Charter is part of a wider empowerment drive in South Africa designed to rectify the disparities of apartheid that persist more than two decades since the end of white minority rule in 1994.</p>
<p data-reactid="42">The Chamber of Mines said it believed the move to suspend new mining and exploration rights was &#8220;unlawful&#8221;, damaging to the sector and was beyond the minister&#8217;s powers under the Mineral and Petroleum Resources Development Act.</p>
<p data-reactid="43">&#8220;The effect of the notice is to pave the way for the Minister to issue a further notice to prevent the issuing of new mining and exploration rights which will have an immediate negative impact on investment in the sector,&#8221; Chamber said.</p>
<p data-reactid="44">Zwane and the Chamber have been at loggerheads over the implementation of a new mining law, which includes raising the level of black ownership in mining firms.</p>
<p data-reactid="45">Mining shares fell to more than one-year lows when Zwane released the revised mining charter last month, giving resource firms 12 months to meet a new 30 percent minimum for black ownership, up from 26 percent.</p>
<p data-reactid="46">The Chamber has applied to the High Court to prevent implementation of the mining charter.</p>
<p data-reactid="47">On Friday, the chamber said the minister had given a written undertaking that the new code would not be implemented until a court ruled on the case.</p>
<p data-reactid="48">The latest move by Zwane opened up a new area of contention.</p>
<p data-reactid="49">The Chamber, which has complained that mining companies were not properly consulted about the revisions to the charter, said if the minister did not back down on the mining moratorium, it would challenge the move in court.</p>
<p data-reactid="51">&#8220;The Chamber is writing to the Minister to request his immediate withdrawal of the notice, failing which the Chamber will apply for an urgent interdict to suspend and review the notice,&#8221; the Chamber said.</p>
<p data-reactid="52">The mining code was introduced in 2002 to increase black ownership in the mining industry after years of exclusion under apartheid. The sector accounts for about 7 percent of South Africa&#8217;s economic output.</p>
<p>Ratings agency Moody&#8217;s said the new rules seeking to accelerate black ownership in South Africa&#8217;s mining industry would deter investment, raise costs and diminish cashflow generation. The mining minister has defended the new code, calling it a &#8220;win-win&#8221; for all.</p>

SA’s Minister of Mineral Resources suspends implementation of Revised Mining Charter

<p>South Africa mines minister Mosebenzi Zwane has instructed the government&#8217;s Minerals Board to verify information provided by AngloGold Ashanti regarding the reasons behind its decision to consider laying off up to 8,500 workers.</p>
<p>&#8220;These are not just numbers to be thrown around, but people’s livelihoods and future job prospects, and we should not take this matter lightly,&#8221; Zwane said in a statement after meeting with the company.</p>
<p>Job cuts are a thorny issue in South Africa, where the unemployment rate is at a 14-year high. The mining industry in recent years has shed tens of thousands of jobs in the face of depressed prices, soaring costs and labour unrest.</p>

<p>South Africa mine&#8217;s minister on Sunday defended new regulations seeking to accelerate black ownership in the key industry as a &#8220;win-win&#8221; situation for all, despite objections from an industry body threatening court action to block the changes.<span id="midArticle_byline"></span></p>
<p>Minister Mosebenzi Zwane released the government&#8217;s revised Mining Charter on Thursday, raising the minimum threshold for black ownership of mining companies to 30 percent from 26 percent, and giving resource companies 12 months to meet the target among a raft of other regulations that hit mining stocks.</p>
<p>The Chamber of Mines, which represents mining firms, said it would challenge the new rules in court, arguing that there had been insufficient consultation in drawing up the charter &#8211; which is designed to widen ownership of Africa&#8217;s most industrialised economy.</p>
<p>&#8220;We have given due consideration to the submissions made and we will not be held ransom to those views that seek to derail transformation in the minerals sector,&#8221; Zwane said an an opinion piece in the Sunday Times newspaper.</p>
<p>Saying that it was impossible to please everybody, Zwane said a court review by aggrieved parties was expected.</p>
<p>&#8220;Should this happen, we are hopeful that the judiciary, recognising the separation of powers doctrine, does not usurp the role of the executive in exercising its power,&#8221; he said.</p>

South Africa’s mines minister defends new mining charter

<p>South Africa&#8217;s Chamber of Mines Vice President Steve Phiri has described the <a href="file:///C:/Users/moniquev/Downloads/finalspeech14062017.pdf">Revised Mining Charter </a>as the &#8220;last nail in the coffin&#8221; for the mining industry. The charter released on Thursday sent JSE listed mining stocks in a tailspin, see table. The Mining Index lost 2.55 per cent of its value and Gold Mining 5.27 per cent.</p>
<p>Due to the huge financial implications it could have for the mining industry and the rest of the country the chamber <span class="articleLocation">has decided to apply for an interdict to suspend the implementation of the Revised Mining Charter and take it on review. Its President: Mxolisi Mgojo says the chamber, which represents 90 per cent of the industry in the country, needs to &#8220;p</span>rotect the mining industry and take all critical steps&#8221; to do so.</p>
<p>The chamber represents companies such as PPC, Shanduka, Glencore, Harmony, Kumba and Sibanye Gold.</p>
<p>The industry body says it hopes that by going to court it will bring the industry and the Department of Mineral Resources back to the negotiation table, says Mgojo.</p>
<p>The Mining Charter, which applies with immediate effect was released without consulting the industry body and many of its aspects have not been seen by the Chamber of Mines. It was only given a copy of the charter after it was released, says Roger Baxter, Chamber of Mines, CEO.</p>
<p>Baxter says it will not be signing the charter as &#8220;it is not their charter&#8221;.</p>
<p>Baxter warned that this is one charter that is going to scare investment. It will have a significant impact on the sector, he added.</p>
<p>The charter raised the minimum threshold for black ownership of mining companies to 30 per cent from 26 per cent but has not decided if firms must retain that structure permanently, Mines Minister Mosebenzi Zwane said.</p>

<p>The Chamber of Mines previously took  government to court over the interpretation of the ownership rules. A case it says it put on hold in good faith. The government has said companies must keep to black ownership targets even if black shareholders sell their stakes. The chamber will now again approach the courts to reopen the matter.</p>
<p>Baxter says that the chamber is not opposed to transformation when there are realistic and balanced stretched targets. Mgojo reiterated this saying that the chamber&#8217;s members on average have received transformation of over 38 per cent and the industry is one of the most transformed in the country.</p>

SA’s Revised Mining Charter is “the last nail in the coffin”: Chamber of Mines VP Phiri

<p>South Africa&#8217;s cabinet said on Thursday it has approved for publication a review of revisions to its charter for the mining sector, a process that was supposed to have been done months ago raising concerns about policy uncertainty in the industry.</p>
<p>&#8220;Mineral Resources Minister Mosebenzi Zwane will provide a briefing once the charter has been gazetted,&#8221; the cabinet said in a statement, without providing further details such as when it will be published.</p>
<p>According to Bloomberg, Zwane &#8220;has proposed raising the mandatory black ownership of mining assets to 30 percent from 26 percent, drawing opposition from some ruling-party officials who fear it will deter investment, two people familiar with the situation said&#8221;.</p>
